1.Acceptance of Terms
By creating an account, accessing or using PeakPoint TSP, you agree to be bound by these Terms of Service and by our Privacy Policy. If you do not agree, you may not use the platform.
If you are using PeakPoint TSP on behalf of a company, brand or other organisation, you confirm that you have the authority to accept these Terms on its behalf, and “you” refers to that organisation as well as to you personally.
2.Eligibility
To hold a PeakPoint TSP account you must:
- Have the legal capacity to enter into a binding agreement
- Provide accurate registration and onboarding information
- Not be barred from using the platform under any applicable law, and not have had an account previously suspended or terminated by us
- Use the platform for its intended purpose as a Seller or a Creator
Accounts are personal to the account holder. You may not create an account on behalf of another person without their authority, use another person's account, or transfer your account to someone else without our consent.
PeakPoint Media does not impose a minimum or maximum age on account holders. Creators provide a year of birth so that campaigns can be filtered by age range; it is not used to accept or refuse an account, and it is never shown to Sellers.
To be confirmed before launch
Age and legal capacity. Because the platform accepts account holders of any age, PeakPoint Media should take legal advice on the consequences before public launch: the capacity of a minor to enter a commission agreement, the consent and data-handling rules that apply to children in each market served (for example the treatment of under-13 data in the United States and the varying digital-consent ages across the EU), and any local rules on minors performing commercial work. This section states what the platform does today; it is not a statement that doing so is permitted in every jurisdiction.
3.Accounts and Account Security
You are responsible for:
- Providing accurate, current and complete information when you register and during onboarding, and keeping it up to date
- Keeping your password and any authentication credentials confidential
- Activity that takes place through your account, to the extent it is legally appropriate to hold you responsible for it
- Notifying us promptly at tsp@peakpointadvertising.com if you believe your account has been accessed without your authorisation
You may sign in with an email address and password, or with Google. Where you use Google sign-in, keeping that Google account secure is also your responsibility.
4.Creator and Seller Roles
When you finish onboarding you choose an account type. The choice determines which workspace you use and what you can do, and it cannot be changed later without contacting support.
Creators
- Build and maintain a creator profile
- Verify a TikTok account they control, so that its handle and follower count can be shown on their profile
- Browse products and collaboration opportunities published by Sellers
- Apply for collaborations, including proposing terms
- Communicate with Sellers through the platform
- Track applications, favourites and collaboration activity
Sellers
- Create and publish products and collaboration opportunities
- Submit business registration details for review by PeakPoint TSP
- Define commission arrangements or other collaboration terms
- Discover creators and review the applications they receive
- Accept or decline applications
- Communicate with Creators through the platform
5.Our Role as a Platform
PeakPoint TSP provides technology and marketplace tools that allow Sellers and Creators to discover each other, exchange information and manage collaboration opportunities. We provide the venue; you agree the deal.
Unless we state otherwise in writing, PeakPoint TSP is not:
- The employer of any Creator, nor a party to any employment relationship
- The agent or representative of any Seller or Creator
- A guarantor of any collaboration, payment or commission
- Responsible for guaranteeing sales, revenue, audience growth, performance or any other result
Where a Seller and a Creator reach an agreement independently, PeakPoint TSP does not automatically become a party to it. Those parties are responsible for the terms they agree and for performing them. We may hold records of activity that took place on the platform, but holding a record does not make us a party to the arrangement.
We do not verify every statement made by users. Two verification features are offered, and each confirms something specific:
- Seller business verification. A PeakPoint TSP administrator reviews the business registration number a Seller submits against the registration document provided with it. A verified business badge means that review was passed. It is not an endorsement of the Seller's products, conduct or ability to pay.
- Creator TikTok verification. A Creator proves control of a TikTok account by placing a one-time code in that account's public bio. A verified TikTok badge means that check was passed, and the follower count shown is the figure read from the account's public profile at the most recent check. It does not confirm the authenticity of an audience, its engagement or campaign performance.
6.Seller Responsibilities
If you use PeakPoint TSP as a Seller, you are responsible for:
- The accuracy of the products and opportunities you publish, including descriptions, imagery and supporting documents
- The legality of your products, offers and promotional requirements in every market where they will be promoted
- Communicating commission arrangements and collaboration terms clearly and honestly before a Creator commits
- Honouring the agreements you make with Creators, including payment terms
- Providing genuine and accurate business registration details and documents when you submit them for verification
- Ensuring you hold the rights necessary to use and to authorise others to use the content and materials you upload
- Reviewing applications fairly and in line with applicable anti-discrimination laws
7.Creator Responsibilities
If you use PeakPoint TSP as a Creator, you are responsible for:
- The accuracy of the information in your profile, including your name and location
- Connecting and verifying only a TikTok account that you own or are authorised to manage
- Your own TikTok account and the content you publish there, including compliance with TikTok's own terms and policies
- Following applicable laws, including advertising and disclosure rules that require sponsored or paid content to be identified as such
- Honouring the collaboration agreements you accept
- Ensuring you hold the rights to any content you upload to the platform
8.Products, Applications and Collaborations
Submitting an application does not guarantee that you will be selected. Sellers decide which applications to accept, and may decline an application without giving a reason.
Equally, publishing a product or opportunity does not guarantee that any Creator will apply, that a collaboration will result, or that a collaboration will produce sales or any other outcome.
The final terms of any collaboration — deliverables, timelines, commission, payment, usage rights and anything else that matters — should be clearly agreed between the Seller and the Creator. We strongly recommend agreeing those terms in writing before work begins. Where the parties' own agreement conflicts with what was listed on the platform, that is a matter between them to resolve.
9.Prohibited Conduct
You must not use PeakPoint TSP to:
- Engage in fraud, deception or any unlawful activity
- Impersonate another person, business or brand, or misrepresent your affiliation with anyone
- Provide false, misleading or deliberately incomplete information
- Manipulate or misrepresent follower counts, engagement, audience demographics or campaign performance
- Upload content that is unlawful, infringing, defamatory, obscene or that you do not have the rights to use
- Harass, threaten, abuse or discriminate against another user
- Send spam or unsolicited promotional messages through the platform
- Attempt to gain unauthorised access to the platform, another user's account, or any system or data connected to it
- Scrape, harvest or otherwise collect information about users except through features we provide for that purpose
- Interfere with, disrupt or place unreasonable load on the platform or its infrastructure
- Use another person's account or account information without authority

10.User Content and Intellectual Property
You retain ownership of the content you upload to PeakPoint TSP — your profile information and imagery, product listings, documents, messages and anything else you contribute.
By uploading content, you grant PeakPoint Media a limited, non-exclusive, worldwide, royalty-free licence to host, store, reproduce, display and distribute that content to the extent necessary to operate the platform and provide the marketplace features you are using — for example, showing your profile to a Seller browsing creators, or delivering a message to its recipient. This licence exists so the platform can function; it does not give us the right to use your content for unrelated purposes.
The licence ends when you remove the content or delete your account, except where the content has already been shared with another user, or where a copy must be retained as described in our Privacy Policy.
PeakPoint TSP's own branding, software, design, trademarks, text and platform content remain the property of PeakPoint Media or the applicable rights holder. Nothing in these Terms transfers any of those rights to you, and you may not copy or reuse them without permission.
If you believe content on PeakPoint TSP infringes your rights, contact us at tsp@peakpointadvertising.com with details so we can review it.
11.Third-Party Services
PeakPoint TSP integrates with third-party services in order to operate, including Google authentication for sign-in, hosting and email delivery providers, and a data provider used to read public TikTok profile information when a Creator verifies a TikTok account. Where you use one of those services, that provider's own terms and policies apply to your use of it, in addition to these Terms.
TikTok verification works by reading information that is publicly visible on the TikTok profile you name. PeakPoint TSP does not ask for your TikTok password, does not sign in to your TikTok account and cannot post, comment or act on TikTok on your behalf. Your use of TikTok remains governed by TikTok's own terms. If further integrations are introduced, any additional terms that apply will be made clear at the point you choose to use them.
We are not responsible for third-party services, their availability, or how they handle information under their own policies.
12.Platform Availability
We work to keep PeakPoint TSP reliable and available, but we cannot guarantee that it will be uninterrupted, timely, secure or error-free. Access may be affected by maintenance, updates, technical problems or issues with third-party providers, and features may be changed, added or withdrawn as the platform develops. Where we plan significant disruption or the removal of a feature you rely on, we will give reasonable notice if we can.
13.Suspension and Termination
We may suspend, restrict or terminate an account that breaches these Terms, threatens the security or integrity of the platform, engages in fraud, or misuses the service. We may also suspend an account where we are required to do so by law.
Where it is appropriate and lawful to do so, we will tell you the reason and, where the circumstances allow, give you an opportunity to respond or put the matter right. Serious cases — fraud, security threats or unlawful activity — may result in immediate action without prior notice.
You may stop using PeakPoint TSP at any time and may delete your account from your account settings. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability and governing law — continue to apply afterwards.
14.Disclaimers
PeakPoint TSP is provided on an “as is” and “as available” basis. To the fullest extent permitted by applicable law, we do not make warranties that the platform will meet your requirements, that it will be uninterrupted or error-free, or that any collaboration arranged through it will achieve a particular result.
We do not warrant the accuracy, quality or legality of user content, products, opportunities or profiles published by other users, and we do not endorse any Seller or Creator. You are responsible for exercising your own judgement about who you work with and on what terms.
Nothing in these Terms excludes or limits any right or protection you have under applicable law that cannot lawfully be excluded or limited — including consumer rights, and liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.
15.Limitation of Liability
To the fullest extent permitted by applicable law, PeakPoint Media will not be liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, business, goodwill or data, arising from or in connection with your use of PeakPoint TSP.
We are also not liable for the acts or omissions of other users, including a Seller's failure to pay a commission, a Creator's failure to deliver agreed content, or any dispute arising from an agreement reached between users. Those matters are between the parties involved, though we may assist where we reasonably can.
Where liability cannot lawfully be excluded, it is limited to the extent permitted by applicable law. These limitations apply regardless of the legal theory on which a claim is based and even if we have been advised of the possibility of the loss.
To be confirmed before launch
Liability cap. The financial cap on aggregate liability — for example a fixed sum, or amounts paid to PeakPoint Media in a defined period — should be set by PeakPoint Media's legal advisers before public launch, alongside the governing law below, so that the cap is enforceable in the chosen jurisdiction.
16.Changes to the Terms
We may update these Terms from time to time to reflect changes to the platform, our business or legal requirements. When we do, we will revise the “Last updated” date at the top of this page, and where the changes are significant we will take reasonable steps to notify you. Continuing to use PeakPoint TSP after an update means you accept the revised Terms. If you do not accept them, you should stop using the platform and may delete your account.
17.Governing Law and Disputes
These Terms, and any dispute arising out of or in connection with them or your use of PeakPoint TSP, are governed by the law of the jurisdiction identified below.
To be confirmed before launch
Governing law and dispute resolution. PeakPoint Media's legal advisers must confirm the governing law, the courts or forum that will have jurisdiction, and whether disputes are to be resolved by litigation, arbitration or another mechanism. This should be settled before public launch and reflects a decision about where PeakPoint Media is established and where its users are based — it is not something that should be assumed.
Before starting formal proceedings, we ask that you contact us at tsp@peakpointadvertising.com so we can try to resolve the matter directly. Most issues can be settled that way.
